Mayer Brown is providing counsel to Nippon Life Insurance Company (Nippon Life) regarding its acquisition of Resolution Life. Nippon Life, a major Japanese life insurance company, is expanding its global reach through this $10.6 billion transaction.
The acquisition is subject to regulatory approval and is expected to close in the second half of 2025. Once finalized, Resolution Life’s institutional businesses in the US, UK, Bermuda, and Singapore will become a subsidiary of Nippon Life. This will create a new division that complements Nippon Life’s existing Japanese life business, along with its international asset management and retail operations. As part of the deal, Resolution Life’s Australasian business will be combined with Nippon Life’s Australian company, MLC.
